Important: Section 29 contains a binding arbitration agreement and a class action and jury trial waiver. It affects how disputes are resolved. You may opt out within 30 days, as explained in Section 29.
These Terms & Conditions ("Terms") are a legal agreement between you and Legacy Builders Systems LLC ("we", "us") for the BusinessOS software, including its installer, updates, and documents ("the Software"). "You" means the person installing or using the Software and the business they represent.
By installing, activating, or using the Software — including by choosing "I accept" in the installer — you agree to these Terms. If you do not agree, do not install or use the Software.
1. Acceptance of Terms
By accepting these Terms you confirm that you are at least 18 years old (or the age of legal majority where you live) and that you have authority to accept them for yourself or for the business you represent.
The Software is sold for business use only. It is not a consumer product, and you are not acquiring it for personal, family, or household purposes.
You agree that choosing "I accept", or using the Software, is your electronic signature and has the same effect as signing a paper agreement.
If you let staff or other people use the Software, you are responsible for making sure they follow these Terms.
2. Description of the Software
BusinessOS is business management software installed on your own Windows computers. Depending on your plan and industry setup it may include client and customer records, scheduling, reservations and hotel front-desk tools, invoicing, quotes, payments, payroll and time tracking, inventory and barcodes, loyalty and gift cards, waivers and electronic signatures, messaging, reports, backups, and related tools.
The Software can share one set of business data between computers on your own local network. Features may change over time through updates. We may add, change, or remove features, and not every feature is available on every plan or industry.
3. Licence to Use
Once you accept these Terms and have a valid licence key or active trial, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the Software for your own internal business purposes, for the length of your licence.
Your licence key is issued to the business named on it and may be locked to the first installation that activates it. You may not share, sell, publish, or transfer a licence key, or use one key for more businesses or installations than your plan allows.
When a trial or a dated licence ends, the Software may stop working, limit features, or become read-only until a new key is entered. Keep your licence key private — treat it like a password.
4. Free Trials
We may offer a free trial for a limited time. When the trial ends you need a licence key to keep using the Software. We may change, extend, or end trial offers at any time. Data entered during a trial stays on your computer, but some features may be unavailable until you activate. Trials are provided "as is" with no support commitment.
5. Fees, Payment, Renewal & Refunds
If you buy a licence or subscription, the price, billing period, and any trial terms will be given to you when you buy or in a separate order or invoice. You agree to pay on time.
If your plan renews automatically, it will renew for the same period at the then-current price until you cancel. You can cancel at any time by emailing us before the renewal date; cancelling stops future renewals, and your licence continues until the end of the period you already paid for.
If a payment is late, cancelled, or reversed (for example, a chargeback), we may decline to issue renewal keys or may suspend the licence until the balance is paid. Fees are non-refundable except where required by law or where we agree otherwise in writing. We may change prices for future periods with reasonable advance notice. You are responsible for any taxes that apply to your purchase.
6. Accounts, Passwords & Security
- The business owner and administrators control who can use the Software and what each staff account can see and do.
- You are responsible for keeping passwords, access codes, licence keys, and the keys of any connected service (such as a Stripe secret key or a webhook address) private, and for everything done under your accounts.
- You are responsible for the security of the computers, Windows accounts, and local network the Software runs on, including antivirus, Windows updates, firewalls, and physical access.
- The Software may lock an account after repeated failed sign-in attempts and keeps a record of important actions (an audit log) to help you see who did what.
- If you think someone has accessed your Software without permission, change the affected passwords right away and contact us.
No software is completely secure. We take reasonable steps to build the Software securely, but we do not promise that it cannot be broken into or misused.
7. Acceptable Use
You agree not to:
- Use the Software to break any law or regulation, or to store or send unlawful, fraudulent, deceptive, harassing, discriminatory, or infringing content;
- Send spam or unwanted text messages or emails, or contact people without the consent the law requires;
- Try to get around licence checks, security, or access limits, or make keys, cracks, or copies to avoid paying;
- Copy, modify, resell, rent, or redistribute the Software, except as these Terms allow;
- Reverse-engineer, decompile, or try to extract the source code, except where the law allows it;
- Interfere with the Software, other users, or connected systems.
8. Your Data
You own the business, customer, guest, staff, and operational information you enter into the Software ("Your Data"). The Software stores Your Data on your own computers — it is not uploaded to our servers, and we do not have access to it unless you choose to send it to us (for example, when asking for support).
You are responsible for the accuracy of Your Data, and for having the rights and consents you need to collect, store, and use it — including personal information about your customers, guests, and employees.
9. Backups & Data Loss
The Software includes automatic backups and can copy backups to a second folder you choose. Backups only protect you if they are set up and working, so you are responsible for choosing a safe backup location (such as a separate drive or a synced folder) and checking from time to time that backups are being made.
Restoring a backup replaces the current data with the data in that backup. Computers can fail, be lost, stolen, or damaged by viruses. To the extent allowed by law, we are not responsible for lost, damaged, or corrupted data, however it happens.
10. Privacy & Information We Receive
We collect very little. The Software does not send Your Data to us. The Software does connect to the internet in these cases:
- Updates: it checks our update address for new versions and downloads them. This shares basic technical information, like your internet (IP) address, with the service hosting the updates (currently GitHub).
- Licence activation: when you activate, the licence key and basic technical information needed to check it may be sent to us.
- Translation: if you choose a language other than English, text shown on screen is sent to Google Translate so it can be translated.
- Support requests: when you send a request from the Help screen, the name, contact details, and description you type are delivered to us through a form delivery service (currently Web3Forms).
- Error reports: only if you choose to send one, technical details about the problem (version, screen, device and error messages — never your customer or payment records) and anything you type are delivered to us the same way.
- Integrations you turn on: see Third-Party Services below. For example, card payments open a payment page run by Stripe, and webhooks, Zapier, or Slack send the event details you chose to the address you entered.
The in-app help assistant ("Support AI") answers from help built into the Software. It does not send your questions or Your Data to any outside AI service.
When you buy a licence or contact us, we keep the details you give us — such as business name, contact name, email, phone, and payment records — to issue keys, provide support, and run our business. We do not sell this information.
Features like the camera (for photos or barcode scanning) only work when you allow them, and what they capture stays on your computer.
11. Your Customers, Guests, Employees & the Law
You are the one collecting and using information about your own customers, guests, and employees, so you are responsible for following the laws that apply to your business. Depending on where and how you operate, these may include privacy, data-security, and consumer-protection laws (such as the Florida Information Protection Act and the California Consumer Privacy Act), rules on text messages and emails (such as the TCPA and CAN-SPAM), employment, wage, and anti-discrimination laws, accessibility laws, and industry rules.
If information in your Software is accessed without permission, you are responsible for any notices to affected people or authorities that the law requires.
The Software is not designed or certified for storing protected health information under HIPAA, and we do not sign Business Associate Agreements. It is not designed for storing full payment card numbers under PCI DSS, Social Security numbers, or full government ID numbers. Do not store these unless you have made your own arrangements to meet the rules that apply.
If you store information about children (for example in childcare, education, or family services), you are responsible for getting the consent of parents or guardians and for following the laws that protect children's and students' information (such as COPPA and FERPA where they apply).
12. Industry Tools Are Aids, Not Professional Services
The Software offers templates, checklists, and screens for many industries. They help you organize your work; they do not replace professional judgment, licences, or legal duties. In particular:
- Hotels and lodging: you are responsible for guest registration and ID rules, the safe handling of guest documents, room rates and availability you promise, lodging and tourist taxes, overbooking, keys and guest safety, and accessible-room requirements. Room status, availability, and night-audit figures depend on what your staff record.
- Healthcare, dental, and wellness: the Software is not a medical device or an electronic health record, and must not be used to diagnose, treat, or make clinical decisions.
- Childcare and education: the Software does not replace supervision, staff-to-child ratios, background checks, licensing duties, or mandatory reporting.
- Law, accounting, finance, insurance, and real estate: the Software does not give legal, tax, financial, or insurance advice, and does not replace trust-account, escrow, or licensing rules, which remain your responsibility.
- Restaurants and food: allergen, food-safety, and health-code duties remain yours.
- Gyms, fitness, and activities: health screening, waivers, and safety duties remain yours.
- Transport and field services: vehicle, driver, hours-of-service, and safety rules remain yours.
13. Payroll, Taxes, Invoices & Reports
Payroll, tax, invoice, commission, occupancy, and report figures are calculated from the information and settings you enter. They are tools to help you — not accounting, tax, payroll, or legal advice. You are responsible for checking the figures, for paying the right amounts, and for filing the right returns. Talk to a qualified accountant or advisor for decisions that matter.
14. Waivers, Electronic Signatures & Documents
The Software lets you create documents such as waivers, agreements, quotes, and invoices, and collect electronic signatures. You are responsible for the wording of your documents and for making sure they, and the way you collect signatures, are valid and enforceable where you operate. Templates and example text are only a starting point.
15. Card Payments, Gift Cards, Loyalty & Deposits
Card payments are processed by Stripe (or another provider you connect) under your own account with that provider. We are not a payment processor, bank, or money transmitter, we never receive or hold your customers' money, and we are not a party to your sales. Fees, payouts, refunds, disputes, chargebacks, and fraud are between you, your customer, and the provider.
If you sell gift cards, run loyalty programs, or take deposits or payments from your customers, you are responsible for following the laws that apply to them (for example, rules on gift card expiry and fees, and unclaimed property) and for honoring what you promise your customers. The Software only helps you keep track of them.
16. Third-Party Services & Integrations
The Software can connect to services run by other companies — for example Stripe (card payments), Twilio (text messages), Zapier, Slack, Zoom, Google, and others. These services are optional and only work once you connect them with your own account.
When you connect one, the information needed for it to work is sent to that company, and your use is governed by their terms, privacy policy, and fees — not ours. We do not control these services and are not responsible for their availability, charges, errors, changes, or how they handle your information. Names of other companies are their trademarks; mentioning them does not mean they endorse or are affiliated with us.
17. Translation, Support AI & Help Content
Translations are made automatically and may contain mistakes. Help articles, guides, the guided tour, and Support AI answers are general information about using the Software. They may be incomplete or out of date and are not professional advice. If a translation differs from the English text, the English text controls.
18. Updates
The Software may check for and download updates automatically. It will ask before an update is installed. Updates can fix problems, improve security, and add, change, or remove features. These Terms apply to all updates. We may stop supporting older versions, so keeping the Software up to date is recommended — and may be needed for support.
19. Support
Support is provided by email at legacy.builders.systems@gmail.com and as described in your plan. We will make reasonable efforts to help, but we do not promise a specific response time or that every problem can be fixed. If you send us a copy of Your Data to help solve a problem, we will use it only for that purpose and delete it when it is no longer needed.
20. System Requirements
The Software needs a supported version of Windows and, for use on several computers, a working local network. It may not work correctly on unsupported, modified, or poorly maintained computers or networks. You are responsible for your equipment, internet connection, printers, card readers, and other hardware.
21. Not for High-Risk Use
The Software is not designed for, and must not be relied on for, emergency services, life support, medical treatment, fire or security alarms, or any use where a failure could lead to death, injury, or serious damage to property or the environment.
22. Intellectual Property
The Software — including its code, design, graphics, text, and the BusinessOS name and logo — is owned by Legacy Builders Systems LLC or its licensors and is protected by intellectual property laws. You receive only the licence described in these Terms; no ownership passes to you, and we keep all rights not expressly given. Any open-source components included with the Software are covered by their own licences, which come with the Software.
23. Feedback
If you send us ideas or suggestions, we may use them to improve our products without owing you anything.
24. Use of Artificial Intelligence in Development
Parts of this Software — including portions of its code, user interface, and supporting content — were built with the assistance of artificial intelligence tools as part of Legacy Builders Systems LLC's development process. AI assistance was used the way a modern development team would use any other tool: to speed up routine work, which was then reviewed, tested, and refined before release.
This does not change your rights under these Terms. Legacy Builders Systems LLC remains responsible for the Software as described in these Terms and owns the resulting work product as described in Intellectual Property. Using AI tools during development does not send Your Data to any AI service; any such feature would be disclosed and controlled separately within the Software's own settings.
25. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS. TO THE FULLEST EXTENT THE LAW ALLOWS, WE MAKE NO WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, FREE OF VIRUSES, OR WILL MEET YOUR NEEDS OR LEGAL OBLIGATIONS. NOTHING WE OR OUR STAFF SAY CREATES A WARRANTY NOT STATED IN THESE TERMS. SOME PLACES DO NOT ALLOW THESE EXCLUSIONS, SO SOME MAY NOT APPLY TO YOU.
26. Limitation of Liability
TO THE FULLEST EXTENT THE LAW ALLOWS, LEGACY BUILDERS SYSTEMS LLC AND ITS OWNERS, MEMBERS, MANAGERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, OR FOR FINES, PENALTIES, OR TAXES IMPOSED ON YOU, ARISING FROM OR RELATED TO THE SOFTWARE OR THESE TERMS — WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND EVEN IF WE WERE TOLD THEY WERE POSSIBLE.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SOFTWARE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). THESE LIMITS ARE AN ESSENTIAL PART OF THE PRICE AND APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME PLACES DO NOT ALLOW THESE LIMITS, SO SOME MAY NOT APPLY TO YOU.
27. Indemnification
You agree to defend, indemnify, and hold harmless Legacy Builders Systems LLC and its owners, members, managers, employees, and contractors from claims, losses, fines, and costs (including reasonable attorney's fees) that come from Your Data, how you or your staff use the Software, your dealings with your customers, guests, and employees, the services you connect, or your breaking these Terms or the law. We may choose to control the defense of any such claim, and you will cooperate with us.
28. Time Limit to Bring a Claim
To the extent the law allows, any claim relating to the Software or these Terms must be started within one (1) year after it arose, or it is permanently barred.
29. Binding Arbitration & Class Action Waiver
Please read this section carefully.
- Talk to us first. Before starting any claim, you agree to email us a description of the problem and give us 30 days to try to solve it informally.
- Arbitration. If it is not solved, any dispute relating to the Software or these Terms will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before one arbitrator, in Miami-Dade County, Florida (or by video, if both sides agree). The Federal Arbitration Act governs this section. Judgment on the award may be entered in any court with jurisdiction.
- Individual claims only. You and we may bring claims only individually, and not as a plaintiff or class member in any class, collective, consolidated, or representative action. The arbitrator may not combine claims of more than one party or award relief to anyone other than the individual party.
- Jury trial waiver. You and we each give up the right to a trial by jury.
- Exceptions. Either side may bring an individual claim in small-claims court, and either side may ask a court for an injunction to protect its intellectual property or to stop unauthorized use of the Software.
- Opt-out. You may opt out of this arbitration agreement by emailing legacy.builders.systems@gmail.com within 30 days after you first accept these Terms, with your name, business name, and a clear statement that you opt out of arbitration. Opting out does not affect the rest of these Terms.
- If the class action waiver is found unenforceable for a claim, that claim must be heard in court and not in arbitration, and the rest of this section still applies.
30. Governing Law & Courts
These Terms are governed by the laws of the State of Florida and the federal laws of the United States, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. For any dispute not covered by arbitration, the state and federal courts located in Miami-Dade County, Florida have exclusive jurisdiction, and you consent to them, unless the law where you live requires otherwise.
31. Export & Sanctions
You agree to follow United States export-control and sanctions laws. You may not use or send the Software to any country, person, or business that those laws prohibit, and you confirm you are not on any U.S. government restricted-party list.
32. U.S. Government Users
The Software is "commercial computer software" and its documentation is "commercial computer software documentation". Government users receive only the rights given to all other users under these Terms.
33. Termination
You may stop using the Software and uninstall it at any time. We may suspend or end your licence if you break these Terms, do not pay, or if the law requires it. When your licence ends you must stop using the Software, though your data stays on your computers so you can export or keep it.
Sections that by their nature should continue — such as ownership, payment owed, disclaimers, limitation of liability, indemnification, time limits, arbitration, and governing law — continue after termination.
34. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date will change when we do. If a change is important, we will try to let you know, for example in an update or by email. Continuing to use the Software after the change means you accept the new Terms. Changes to Section 29 will not apply to a dispute we already knew about before the change.
35. Notices
We may send you notices by email to the address you gave us, or inside the Software. You may send notices to us at legacy.builders.systems@gmail.com. You agree that notices sent electronically meet any requirement that they be in writing.
36. General
These Terms, together with any order or invoice for your licence, are the entire agreement between you and us about the Software. If any part is found unenforceable, it will be changed only as much as needed to make it enforceable, and the rest still applies. If we do not enforce a part right away, we have not given up the right to do so later. You may not transfer these Terms without our written consent; we may transfer them as part of a sale or reorganization of our business. You and we are independent parties; nothing in these Terms creates a partnership, employment, or agency relationship, and no one else has rights under these Terms. Headings are for convenience only. We are not responsible for delays or failures caused by events outside our reasonable control, such as power or internet outages, natural disasters, cyber-attacks, government action, or failures of other companies' services.
37. Contact Us
Questions about these Terms can be sent to legacy.builders.systems@gmail.com.
